Terms of Service

1. Scope, Definitions & Applicability

These Terms of Service apply to your use of Tailplan's software-as-a-service platform and related websites, apps and APIs.

  • "Customer", "Organization" or "you": the legal entity or individual using Tailplan.
  • "Users": authorized persons within your Organization granted access to Tailplan.
  • "Services": Tailplan's platform, modules and related support.

2. Subscriptions, Term & Trial

Tailplan offers subscriptions (Basic, Pro, Enterprise) on a monthly or yearly basis, optionally starting with a 14-day free trial.

  • Plans, features and limits are described on the pricing page.
  • Subscriptions renew automatically unless cancelled before the end of the current term.
  • You can upgrade or downgrade at any time; changes take effect from the next billing cycle unless stated otherwise.
  • We may adjust prices with prior notice and an option to cancel before changes take effect.
  • Trial access is for evaluation only and provided "as is".

3. Billing, Taxes & Late Payment

Payments are processed via Stripe by card or SEPA where applicable. Invoices are provided electronically.

  • All fees are exclusive of applicable taxes (e.g., VAT). Taxes are determined by your billing details.
  • You authorize Tailplan to charge the payment method on file for recurring fees.
  • If payment fails or is overdue, we may suspend or limit access until payment is settled.
  • Refunds are not provided for partial billing periods, except where required by law.
  • Promotions or discounts do not transfer between Organizations unless stated.

4. Acceptable Use

You are responsible for how your Users access and use the Services.

  • Do not attempt to copy, reverse-engineer or resell the Services.
  • Do not upload illegal content or violate third-party rights.
  • Access is limited to the permissible number of Users and usage limits per plan.
  • Keep credentials confidential; notify us of suspected compromise.
  • We may audit usage to ensure compliance with plan limits.

5. Privacy, Data Processing & Security

Tailplan acts as a data processor for personal data you input; you are the controller. Our privacy notice and data processing terms (DPA) apply.

  • We process data under your instructions to provide the Services.
  • You must ensure lawful processing grounds and provide required notices to data subjects.
  • We implement appropriate technical and organizational measures; no method is 100% secure.
  • Post-termination, limited-time data export may be available; after that, data may be deleted or archived per policy.

6. Availability, Support & Maintenance

We use commercially reasonable efforts to provide high availability and timely support.

  • Planned maintenance may require temporary downtime; urgent fixes may occur without prior notice.
  • Third-party dependencies (hosting, payment, email) may affect availability.
  • Beta features are provided without service-level commitments.

7. Warranties & Liability

The Services are provided "as is". To the maximum extent permitted by law, Tailplan disclaims implied warranties.

  • Tailplan's total aggregate liability is limited to fees paid by you to Tailplan in the 12 months preceding the event.
  • Tailplan is not liable for indirect, incidental, special or consequential damages, including lost profits or data.
  • You indemnify Tailplan against third-party claims arising from your unlawful use of the Services.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

8. Suspension & Termination

We may suspend or terminate access if you materially breach these Terms (including non-payment).

  • You may cancel at any time via the billing settings; access continues until the end of the paid term.
  • Upon termination, your license ends and access to the Services stops.
  • We may retain certain records if required by law or for legitimate interests (e.g., fraud prevention).

9. Intellectual Property

Tailplan retains all IP rights to the Services and related materials. No ownership is transferred.

  • Customer content and data remain yours; you grant Tailplan a limited license to host and process it to provide the Services.
  • Feedback may be used to improve Tailplan without obligation.
  • Logos and trademarks remain the property of their respective owners.

10. Force Majeure

Tailplan is not liable for delays or failures caused by events beyond reasonable control (e.g., outages, cyber incidents, natural disasters, regulatory changes).

11. Governing Law & Venue

These Terms are governed by Dutch law. Disputes shall be submitted to the competent court in Oost-Brabant, the Netherlands.

12. Changes to the Terms

We may update these Terms. We will notify you of material changes. Continued use after the effective date constitutes acceptance.

13. Miscellaneous

  • If any provision is invalid, the remainder remains in effect.
  • You may not assign these Terms without our consent; Tailplan may assign as part of a reorganization or sale.
  • These Terms, together with any DPA and order forms, are the entire agreement.
